Abstract:
Private equity (‘PE’) and venture capital (‘VC’) fund-raising plays a significant role in a country’s capital formation and economic development. The size of the PE/VC industry has grown rapidly on a global scale, as has its contribution towards the global capital markets. These developments call for attention to carefully understand the intricacies of the regulatory framework for PE/VC funds, especially in terms of how the duties and obligations of fund managers are defined and who are the ‘accredited investors’. The crucial role of self-regulation and contractual governance in this regard cannot be over-emphasized. At the same time, there is a global trend towards enacting more formal regulation. This chapter examines the above issues in turn to provide a clear roadmap to the contemporary PE/VC industry.
